General Terms
The present Terms of Sale and Delivery shall apply to all quotations, sales and deliveries unless otherwise agreed in writing between the parties. Any contract entered into with WERD's sales personnel shall be subject to the Management Board’s approval of the contract and shall consequently only be binding on WERD upon such approval.

Quotations/Orders
Any order placed shall be binding when it has been received by WERD. If the order confirmation deviates from the order placed by the buyer in terms of price, limitations of or increases in the scope of the delivery or where it is subject to any reservations, WERD must be notified immediately if the buyer cannot accept the deviations. If such immediate notice is not given, the buyer shall be bound by the order confirmation.

Terms of Delivery
Unless otherwise agreed, the buyer shall pay freight from the place of delivery as well as a dispatch charge. Upon delivery, the buyer must immediately make an inspec-tion of the goods sold in accordance with the due care and diligence of a prudent businessman. The risk for the goods shall pass to the buyer upon delivery of the goods. Delivery will be ex WERD’s warehouse unless WERD makes the delivery itself. If the goods are forwarded by a third-party carrier, delivery shall take place upon the goods being surrendered to said carrier or upon surrender to a forwarder regardless of whether said party is merely arranging the forwarding or carries it out himself. If the buyer wants to claim a defect, WERD must be notified hereof immediately, including of the nature of the defect. The buyer cannot subsequently claim a defect if the buyer has ascertained or should have ascertained a defect, but has failed to complain in due time. If WERD acknowledges the defect, WERD will replace or repair the goods in question. Goods for replacement or repair must be returned in adequate packaging with an enclosed statement of the invoice number and the RMA number stated by WERD.

Warranty
The products shall be covered by warranties with the same cover provided by the warranty which WERD has obtained in connection with purchase from a producer or supplier. The buyer cannot claim any further product warranty vis-á-vis WERD.

Terms of Payment
In the event of any changes in exchange rates, purchase prices, customs duties, freight and insurance rates or any other conditions beyond the control of WERD, WERD shall be entitled to change its prices accordingly up to the data of delivery. The Terms of Payment are net cash. If other Terms of Payment have been agreed, this will be specified on the invoice. A complaint shall not entitle the buyer to withhold payment for goods delivered. Any payment will first be used by WERD to write off any interest added and costs accrued and then the debt. The buyer shall not be entitled to offset any claims which have not been approved in writing by WERD. Nor shall the buyer be entitled to withhold any part of the purchase price on the basis of any such counterclaim. If delivery is postponed because of the buyer’s affairs, the buyer shall pay WERD as if delivery had been made at the agreed time. If the buyer is in default on any payment, interest will be added from the due date of payment stated on the invoice at the rate of 2% per commenced month.

Intellectual Property
RightsAny delivery from WERD shall be subject to the buyer respecting the intellectual property rights of the rights holders in question. WERD shall have no liability whatsoever for any acts on the part of the buyer which infringe these rights, and such acts shall be regarded as a breach of the delivery contract. All labelling and other marking by WERD are made for the purpose of identifying the products and are not an indication of the origin of the product.

Acceptance at the Return of Goods
WERD only accepts the return of goods sold in exceptional cases and only following a written agreement. As a general ruIe, goods will be taken back at a price which is 15% below the original price. Upon being returned, the goods must be properly and carefully packed and, if possible, in their original packaging, and any cables and documentation must be enclosed.

Retention of Title
WERD will retain the title to the goods sold until the full purchase price, including delivery costs and any interest and other costs, has been paid in full.

Venus and Governing Law
Any dispute arising between WERD and the buyer, including disputes concerning the buyer’s payment liabiIity, shall be settled in accordance with Danish Iaw and with the Copenhagen City Court/Eastern Division of the Danish High Court as the venue.
